Terms of Service

Effective date: 18 March 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Virium Ventures FZ LLC, trading as Partner Toolkit ("Company", "we", "us", or "our"). These Terms govern your access to and use of our website at www.partner-toolkit.com, our PTiQ™ PowerPoint add-in, and all related services, documentation, templates, and support channels (collectively, the "Services"). By creating an account, subscribing to a plan, installing PTiQ™, or otherwise accessing the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

1. Definitions

  • "PTiQ™" means the Partner Toolkit Intelligence Quotient product, a Microsoft PowerPoint add-in that provides professional templates, one-click formatting, consulting playbooks, design tools, and related features.
  • "Subscription" means the recurring paid or free-tier access plan you select to use the Services.
  • "Your Content" means any presentations, slides, text, images, data, or other materials you create, upload, store, or process through the Services.
  • "Company IP" means all intellectual property owned by or licensed to the Company, including the Services, software, templates, designs, playbooks, logos, trademarks, trade names (including PTiQ™ and Partner Toolkit™), documentation, and underlying technology.
  • "Authorised Users" means individuals you authorise to access the Services under your account, subject to the user limits of your Subscription plan.
  • "Partner Assist" means the suite of on-demand professional services available through the Services, including graphic design (Design Slides), data analysis (Hire Analyst), market research (Request Research), and expert advisory (Expert Advice). Partner Assist services are fulfilled by the Company's internal team and are charged separately from Subscription fees.

2. Eligibility and Authority

To use the Services, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding agreements
  • If acting on behalf of an organisation, have the authority to bind that organisation to these Terms, in which case "you" refers to the organisation
  • Provide accurate, complete, and current registration information

By using the Services, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Services.

3. Description of Services

Partner Toolkit provides productivity tools designed for consultants, professional services firms, and business professionals. Our currently available product is:

  • PTiQ™: A Microsoft PowerPoint add-in offering professional slide templates, one-click formatting and styling, a curated library of consulting playbooks and frameworks, design tools, and a personal slide library for organising and reusing content.
  • Partner Assist: On-demand professional services accessible through PTiQ™, including graphic design, analysis, research, and expert advisory. Requests are submitted through the platform and fulfilled by our team. Partner Assist services are billed separately from your Subscription and pricing varies by request type and scope. Professional and Premium subscribers receive discounted service rates.

Additional products may be introduced in the future and will be subject to these Terms (or supplemental terms as applicable). We reserve the right to:

  • Modify, update, or enhance features of the Services at any time
  • Suspend or discontinue any part of the Services with at least 30 days' notice to active subscribers
  • Introduce new features that may be subject to additional terms or fees

4. Account Registration and Security

To access the Services, you must create an account using a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials and not sharing them with unauthorised parties
  • All activities that occur under your account, whether authorised by you or not
  • Using a strong, unique password and updating it periodically
  • Notifying us immediately at help@partner-toolkit.com of any unauthorised access or security breach
  • Keeping your account information accurate and up to date

We reserve the right to suspend or terminate accounts that contain false information, violate these Terms, or have been inactive for more than 12 consecutive months, with prior notice where practicable.

5. Subscriptions, Billing, and Payments

5.1 Subscription Plans

The Services are available through tiered Subscription plans (e.g., Starter, Professional, Premium), each with different features, usage limits, and pricing. Current plan details are available on our Pricing page. We may offer a free tier, free trials, or promotional pricing at our discretion; such offers may be subject to additional terms and may be modified or withdrawn at any time.

5.2 Billing and Payment

Paid Subscriptions are billed on a recurring basis (monthly or annually) depending on your selected plan. Payment is due at the beginning of each billing cycle and is processed through Stripe, our PCI DSS Level 1-certified payment processor. All fees are quoted in the currency displayed at checkout. You authorise us to charge your designated payment method for recurring fees until you cancel. If a payment fails, we will attempt to re-process it and may suspend access to the Services after reasonable notice if payment remains outstanding.

5.2a Partner Assist Fees

Partner Assist services are charged separately from your Subscription fees. Fees for each service request are quoted before work begins and must be approved by you. Payment for Partner Assist services is processed through the same payment method on file. Service fee discounts applicable to Professional and Premium Subscription plans are applied automatically. Partner Assist fees are non-refundable once work on a request has commenced, except where required by applicable law.

5.3 Price Changes

We may adjust Subscription pricing from time to time. We will provide at least 30 days' written notice before any price increase takes effect. The new pricing will apply from the start of your next billing cycle following the notice period. If you do not agree to the price change, you may cancel your Subscription before the new pricing takes effect.

5.4 Cancellation and Refunds

You may cancel your Subscription at any time through your account dashboard or by contacting us at help@partner-toolkit.com. Cancellation takes effect at the end of the current billing period, and you will retain access to the Services until that date. No partial refunds are issued for unused portions of a billing cycle unless required by applicable consumer protection law.

5.5 Taxes

All fees are exclusive of applicable taxes (including GST, VAT, and sales tax) unless otherwise stated. You are responsible for paying any taxes associated with your use of the Services, except for taxes based on the Company's net income.

6. Intellectual Property

6.1 Company IP

All Company IP - including the Services, PTiQ™ software, templates, playbooks, designs, branding, documentation, trade secrets, and underlying technology - is owned by or licensed to the Company and is protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of any Company IP or any rights not expressly granted herein.

6.2 Your Content

You retain full ownership of Your Content. By using the Services, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, process, cache, and display Your Content solely as necessary to provide the Services to you. This licence terminates when you delete Your Content or when your account is terminated. We do not claim ownership of Your Content, and we will not access, use, or share Your Content for any purpose unrelated to delivering the Services without your explicit consent.

6.3 Licence to Use the Services

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your internal business purposes during the term of your Subscription. This licence does not include the right to: (a) sublicence, resell, or redistribute the Services; (b) modify or create derivative works from the Services; or (c) use the Services to build a competing product.

6.4 Template Licence

Templates, frameworks, and playbooks provided through PTiQ™ are licensed for your internal business use. You may use them to create presentations for your clients and internal stakeholders. You may not redistribute, resell, or make templates available as standalone products or as part of a competing template library. Presentations you create using the templates are your property.

6.5 Feedback

If you provide us with suggestions, ideas, feature requests, or other feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Services without obligation or compensation to you.

7. Acceptable Use

You agree to use the Services lawfully and responsibly. You must not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws, regulations, or industry standards
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services
  • Copy, reproduce, redistribute, resell, sublicence, or make the Services available to third parties except as expressly permitted
  • Interfere with or disrupt the integrity, performance, or availability of the Services or related infrastructure
  • Attempt to gain unauthorised access to the Services, other user accounts, or our systems
  • Upload or transmit malicious code, viruses, malware, or any material that could harm the Services or other users
  • Use automated tools (bots, scrapers, crawlers) to extract data from the Services without our prior written consent
  • Exceed the usage limits of your Subscription plan or circumvent technical access controls
  • Use the Services to send unsolicited communications, spam, or engage in abusive or harassing behaviour
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity
  • Remove, alter, or obscure any proprietary notices, labels, or trademarks on the Services

We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of access, removal of content, and reporting to law enforcement where warranted.

8. Service Availability and Support

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

  • Scheduled maintenance (we will endeavour to provide advance notice)
  • Emergency maintenance or security patches
  • Third-party service outages or infrastructure issues beyond our reasonable control
  • Force majeure events

Customer support is available via email at help@partner-toolkit.com. We aim to respond to support inquiries within 2 business days. Support levels and response times may vary by Subscription plan.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES THAT THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
  • WARRANTIES REGARDING THE QUALITY, SUITABILITY, OR COMPLETENESS OF ANY TEMPLATES, PLAYBOOKS, OR CONTENT PROVIDED THROUGH THE SERVICES

Templates, playbooks, and design tools provided through PTiQ™ are for general business use and do not constitute professional advice. You are responsible for reviewing and adapting all materials to suit your specific requirements. Nothing in these Terms excludes or limits any warranties or rights that cannot be excluded or limited under applicable consumer protection law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100)

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS EXCLUDES LIABILITY FOR FRAUD, DEATH, OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; or (e) Your Content. We will provide you with prompt written notice of any such claim and reasonably cooperate with your defence at your expense.

12. Termination

12.1 Termination by You

You may terminate your account and these Terms at any time by cancelling your Subscription through your account dashboard and ceasing all use of the Services. Cancellation of a paid Subscription takes effect at the end of the current billing period.

12.2 Termination by Us

We may suspend or terminate your access to the Services immediately upon written notice if: (a) you materially breach these Terms and fail to cure the breach within 14 days of notice; (b) you fail to pay applicable fees after reasonable notice; (c) you engage in conduct that threatens the security, integrity, or availability of the Services; or (d) we are required to do so by law or regulation.

12.3 Effects of Termination

Upon termination: (a) your right to access and use the Services ceases immediately; (b) we will make Your Content available for export for 90 days following termination, after which it may be permanently deleted; (c) any outstanding fees remain due and payable; and (d) provisions that by their nature should survive termination - including Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and 15 (General Provisions) - shall continue in full force and effect.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. If you are a consumer in a jurisdiction with mandatory consumer protection laws, nothing in these Terms affects your statutory rights under those laws.

13.2 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at help@partner-toolkit.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved through good-faith dialogue.

13.3 Jurisdiction

If informal resolution is unsuccessful, any dispute arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the courts of England and Wales. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, or legal requirements. The effective date at the top of this page indicates the date of the most recent revision. For material changes that affect your rights or obligations, we will provide at least 30 days' advance notice via email to the address associated with your account or through an in-product notification before the changes take effect. If you do not agree to the revised Terms, you must stop using the Services before the changes take effect. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of those changes.

15. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any supplemental terms or policies referenced herein, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements, understandings, and communications.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.
  • Waiver: Our failure or delay in exercising any right or remedy under these Terms does not constitute a waiver of that right or remedy. A waiver is effective only if made in writing and signed by an authorised representative of the Company.
  • Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
  • Force majeure: Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) resulting from events beyond its reasonable control, including natural disasters, acts of government, pandemics, wars, terrorism, labour disputes, power failures, internet or telecommunications outages, or denial-of-service attacks.
  • Notices: All notices under these Terms shall be in writing and delivered by email. Notices to the Company should be sent to help@partner-toolkit.com. Notices to you will be sent to the email address associated with your account.
  • No third-party beneficiaries: These Terms do not create any third-party beneficiary rights. No person other than you and the Company may enforce any provision of these Terms.
  • Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
